Terms of Service

1. Agreement

These Terms of Service (“Terms”) are an agreement between you and Invoistic LLC, a Delaware limited liability company (“Invoistic”, “we”, “us”), and govern your use of the Invoistic websites, web application at app.invoistic.com, mobile applications and related services (the “Service”). By creating an account or using the Service you accept these Terms. If you use the Service for a company, you accept them on its behalf and confirm you have authority to do so.

2. Who can use Invoistic

The Service is for businesses and professionals in the United States. You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of the information you give us and for keeping your sign-in credentials secure.

3. Your company and your team

The person who creates a company account is its owner. The owner may invite users and assign roles, and is responsible for the people they invite, the access each role gives, and all activity under the company account. Remove access promptly when someone leaves your company.

4. Plans, trials and billing

5. Online payments from your clients

If you turn on online payments, you connect your own Square account and allow Invoistic to create payment links on it. Your clients’ payments are processed by Square and paid directly into your Square account; they do not pass through Invoistic’s accounts. Square’s services are provided by Square under Square’s terms, and Square’s fees are charged to your Square account. Invoistic does not charge a fee on these payments. You are the merchant of record: refunds, disputes, chargebacks, taxes and your relationship with your clients are your responsibility. You can disconnect your Square account at any time. Invoistic records payments reported by Square on your invoices but is not a bank, payment processor or money transmitter.

6. Messages to your clients

When you email a document from Invoistic, we send it on your behalf to the address you provide. When you use “Text to client”, the message is sent from your own phone and number; Invoistic does not send it. You are responsible for having your clients’ permission to contact them and for complying with laws that apply to your messages, including the Telephone Consumer Protection Act and the CAN-SPAM Act.

7. Your data

You keep all rights to the information you put into the Service, such as your clients, documents, expenses, time entries and files (“Customer Data”). You give us permission to host, process and display Customer Data only to provide, secure and support the Service for you. We do not sell Customer Data. Our Privacy Policy explains how we handle personal information. You are responsible for having the right to provide the Customer Data you enter, including information about your clients, employees and subcontractors.

8. Acceptable use

Do not use the Service to break the law, send spam or harassing messages, upload malware, infringe others’ rights, issue fraudulent invoices, interfere with or probe the Service’s security, access other companies’ data, or resell the Service without our written permission. We may suspend accounts that put the Service, other customers or the public at risk.

9. Not professional advice

Totals, taxes, reports and job profit figures are calculated from the information you enter. The Service does not provide tax, legal or accounting advice; check important figures with your own advisers.

10. Changes and availability

We continuously improve the Service and may add, change or remove features. We aim to keep the Service available at all times but do not guarantee it will be uninterrupted or error-free. Features we label as beta or preview may change or be withdrawn.

11. Third-party services

The Service relies on providers such as Amazon Web Services, Square, our email delivery provider and, if you choose it, Google sign-in. Your use of a third-party service you connect, such as your Square account, is governed by that provider’s terms.

12. Ending your account

You may stop using the Service and ask us to close your company account at any time by writing to support@invoistic.com. Before closing, export the reports you need. We may suspend or end your access if you materially breach these Terms or fail to pay. After a company account is closed we delete its Customer Data as described in our Privacy Policy, except where the law requires us to keep it.

13. Disclaimers

The Service is provided “as is” and “as available”. To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

14. Limitation of liability

To the extent the law allows, Invoistic will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim and one hundred U.S. dollars (US$100).

15. Indemnity

You will defend and indemnify Invoistic against claims arising from your Customer Data, your messages and dealings with your clients, or your breach of these Terms or the law.

16. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute relating to these Terms or the Service, and you and we consent to that jurisdiction, except that either party may bring an individual claim in small-claims court.

17. Changes to these Terms

We may update these Terms. For material changes we will notify company owners by email or in the app at least 30 days before they take effect. Continuing to use the Service after that date means you accept the updated Terms.
